Master Service Agreement

All users, subscribers, and visitors of Wowo Sim are required to accept the terms and obligations outlined in this Master Service Agreement (“MSA”) and the associated Terms and Conditions. Please carefully review these terms before using any service. By accessing or continuing to use Wowo Sim services, you agree to the rights, responsibilities, and practices described in this MSA.

Basic Terms

This MSA is a legally binding agreement between you and Wowo Sim (“we,” “us,” or “our”). Before accessing any services, you confirm the following:

  • You have the legal authority to enter into contracts under the laws of the United States and the country in which you reside.
  • You are authorized to enter into this agreement on behalf of yourself or your organization.
  • You agree to resolve disputes under Delaware, USA law, in your individual capacity.
  • You will maintain accurate contact and billing information and authorize us to use third-party providers as needed to deliver services.

This MSA supersedes any previous agreements as of the Effective Date and forms the basis for additional agreements, such as Data Processing Addenda (DPA), Service Level Agreements (SLA), Supplemental Program Addenda (SPA), Supplemental Use Policies (SUP), and Service Orders.

Applicability

This MSA applies to you, your representatives, and other authorized users (“Covered Users”). In case of any conflict, priority applies as follows (highest to lowest): DPA, SUP, SPA, Service Order, SLA, and this MSA.

Service Offerings

  1. License: Wowo Sim grants a limited, non-exclusive, revocable license for personal or business use of services, contingent on compliance with this agreement.
  2. Registration: Registration for Wowo Sim services requires providing and maintaining up-to-date contact and billing information.
  3. Account Activities: You are responsible for all account activities, except those due to Wowo Sim service failures.
  4. Support: Wowo Sim offers standard technical support, though availability may vary.

Wowo Sim’s Commitments

  1. Service Provision: Wowo Sim provides services professionally, without claiming ownership over your data.
  2. Data Plans: Wowo Sim offers global roaming data services but does not guarantee local network speeds due to third-party factors.
  3. Privacy & Security: Wowo Sim complies with applicable privacy regulations, as outlined in our Privacy Policy and Data Processing Addendum (DPA), to protect your data.

Specific Service Terms

  1. eSIM Resale: Wowo Sim engages in the resale of prepaid eSIMs. eSIMs are made available through Wowo Sim’s website or app.
  2. Customer Registration: Customers must submit personal information, including first and last name, billing address, and email address, during registration.
  3. Device Compatibility: Customers are responsible for ensuring their device supports eSIM technology and is not network-locked. Compatibility varies by carrier and country.

Customer Responsibilities

  1. Use of Services: Covered Users must comply with Wowo Sim’s Terms of Service and refrain from illegal, fraudulent, or harmful activities that could disrupt the network.
  2. Resale Prohibited: Services cannot be resold without Wowo Sim’s explicit permission.
  3. Third-Party Content: You are responsible for third-party content or tools you add to Wowo Sim services.

Fees & Billing

  1. Payments: Services are prepaid, and non-payment may lead to suspension. Payments are due within three days of invoicing and accepted primarily via major credit/debit cards.
  2. Refunds & Cancellations:
    • Pre-Activation Refunds: Full refunds are available if the eSIM is not activated and requested within fifteen (15) days.
    • Post-Activation: Refunds may be considered for technical issues or network access issues under specific conditions.
    • Non-Refundable Circumstances: Consumed data, promotional items, or incorrect purchases are generally non-refundable.

Intellectual Property

  1. Ownership: Wowo Sim retains all rights to its intellectual property. Your use is limited to the duration of the services.
  2. Feedback: Any feedback you provide may be used by Wowo Sim without limitation.

Data Use and Processing

  1. Third-Party Service Providers: Wowo Sim may use third-party providers for service delivery. If you object, you may notify us, and we will try to address your concerns or terminate your account if needed.
  2. Data Use: Wowo Sim processes your data to deliver services and may anonymize it for business purposes.

Warranties, Representations, and Disclaimer

  1. Wowo Sim: Services are provided “as is” without guarantees of uninterrupted or error-free performance.
  2. Your Responsibility: You confirm that all Covered Users have rights to the data processed through Wowo Sim.

Indemnification

Both parties agree to indemnify each other for losses arising from breaches of this agreement or misconduct.

Limitation of Liability

Wowo Sim’s liability is limited to the fees paid in the preceding twelve months. We disclaim liability for indirect damages.

Miscellaneous Provisions

  • Termination: Either party may terminate this agreement for breach or convenience.
  • Confidentiality: Parties agree to keep each other’s confidential information secure.
  • Force Majeure: Wowo Sim is not liable for events beyond our control.
  • Governing Law: Delaware law governs this agreement, and disputes are resolved in Delaware courts.

This agreement, including any addenda or policies, constitutes the entire understanding between you and Wowo Sim, superseding any previous agreements.
